Dr. Boris Mariacher
Dr. Boris MariacherDr. Mariacher studied at the Ludwig - Maximilians - University in Munich, graduating with a law degree in 1986; followed by a Doctor of Laws in 1988. During his time as an articled clerk, he worked in the legal department of the New York investment banking company Global Capital Group. He finished his articles in 1990, by completing his 2nd state exam in Munich. Since then, he has represented clients Germany wide and especially in the Munich Regional Courts I and II, the Higher Regional Court and the Superior Court of Bavaria.

Between 1990 and 1998, Dr. Mariacher worked in the Munich Office of the international legal firm Heuking Kühn Lüer Heussen Wojtek (formerly Heussen, Braun & von Kessel). From 1996 onwards, he was a partner.

In 1998, Dr. Mariacher established MARIACHER LAWYERS in Munich.

Dr. Mariacher is a specialist in the areas of corporate law, industrial legislation, mergers and acquisitions (M&A) as well as private equity und venture capital.

He represented both German and foreign clients through a multitude of company acquisitions and divestments, in the pharmaceutical, medical technology, technology and retail areas, to name a few.

In more that 40 cases, Dr. Mariacher has advised well-known venture capital companies regarding investment in the internet, software and bio-technology branches.

Between 1998 and 2001, he was a legal advisor in 18 initial public offering (IPO’s) processes in the new market and prepared the acquisition of a Canadian investment company in exchange for shares in a listed German company.

At the same time, he was a member on several boards of directors, was involved as a trustee in their employee share scheme program and presently acts as a legal counsel and trustee for start-up companies with a focus on IT, health care and real estate. Besides his company transactions in various fields Dr. Mariacher also represents his clients in divorce and inheritance cases with a focus on mutual agreements and contracts. As the Munich member of CONSULEGIS Dr. Mariacher frequently represents international clients.

Dr. Ingo MeyerDr. Meyer studied at the Humboldt University in Berlin and the Universities of Lausanne and Geneva. He completed his studies in law in 1996 and as of 2000, has a Doctorate in Law. Not only did he do internships in different legal offices in Berlin and at the Administrative Court, at the same time he also freelanced, founding and editing the “scheinschlag” newspaper as project manager for the “German-Russian Exchange Program” and "P@paya.com" in the areas of print media and internet, which he continued over many years. In conjunction with his doctorate, he lectured in biopharmaceuticals, which rounded off his diverse range of activities.

During his articles between 1998 and 2000, he dealt with legal issues such as due diligence in the internet, film and media branches, mergers and acquisitions (M&A) plus corporate restructuring of small and medium-sized businesses, contract management for software producers and event organizers as well as questions raised regarding medical law.

In 2001, Dr. Meyer worked for private equity/venture capital businesses "Process Technology Group Inc." and "Barrontech Investments Inc." as well as the law firm "Legault Joly Thiffault". He advised in transnational M&A transactions in Canada, Germany and the USA, was involved in the preparation leading to the founding of subsidiary companies in more that 10 countries and in the forming of two private equity funds in Canada and the USA.

Since being admitted as an attorney at law to the Munich District Court I in 2002, Dr Meyer has been working at MARIACHER LAWYERS advising companies and company owners about annual general meetings and the conflict between business partners i.e. through the buying and selling of companies.

Matthias Moormann was admitted to the Landgericht München I (Munich I District Court) as a Rechtsanwalt (solicitor) in 2000 and in 2005 he was also admitted to the bar at the OLG München (Munich Higher Regional Court).

In 2003, Mr Moormann became a member of the Málaga bar association.

Already during his studies at the Ludwig-Maximilians-University in Munich and his years in Spain Mr. Moormann got prepared for the provision of legal advice through the purchase contract negotiations in Germany and Spain.

In 2002 and 2003, Mr Moormann was also managing partner of a Spanish real estate investment company.

Mr Moormann is specialised in the provision of legal services for international companies (developers, real estate investment companies, English family trusts) and private individuals, particularly in connection with commercial real estate investments in Germany. The focus of Mr Moormann’s German legal advisory services is on the performance of legal due diligence in connection with the purchase of commercial and residential properties, drafting of contracts for purchase and sale as well as the financing of, and the legal after-purchase support for, the properties purchased.

As a result of his work for a law firm in Spain specialising in Spanish real estate and inheritance tax law and his role as the managing director of a Spanish real estate investment company, Mr Moormann is fluent in Spanish. As part of his subsequent work for a law firm in Spain, Mr Moormann assisted in numerous real estate transactions, primarily for English, German and Spanish clients, where his services ranged from the provision of legal advice through purchase contract negotiations to conveyancing and entry of title into the Spanish land transfer register.

Since 2007 Mr Moormann has been also working intensively in the area of Renewable Energies. The legal services for large Spanish photovoltaic investments formed also part of his duties as well as the structuring of sales and purchases of German and Italian photovoltaic and windcraft projects.

A core area of Mr Moormann is the integration of the Renewable Energies into the actual legal and economical market environment via the setup of virtual green power plants. These activities are completed by the optimisation of the income situation of existing green power plants (Biomass, Biogas, Hydro Power plants and Wind farms).

At the same time Mr Moormann organises and structures the Energy purchase for Landlords as well as the optimisation of the Energy efficiency for their Real Estate. Another focus is the legal service regarding the erection and sale of photovoltaic plants especially the negotiation and design of Lease Agreements and EPC contracts including the finance, sale and purchase to investors.
Since October 2004, Mr Moormann has been working for the MARIACHER Rechtsanwälte law firm.

Michael GanslmeierDr Peter Steck studied law at Ludwig Maximilians University in Munich, completing his studies in 1988. During his subsequent training period in the judicial service, Dr Steck also studied business administration at Verwaltungs- und Wirtschaftsakademie (college of administration and commerce) in Munich, completing these studies in 1991. In his PhD thesis, Dr Steck examined issues concerning the liability of public limited companies for the actions of their executive bodies.

During his traineeship in the judicial service, Dr Steck worked for the Munich-based law firm CMS Hasche Sigle and the law firm Walter, Conston, Alexander & Green in New York City as well as the corporate consultancy company Prestige & Performance Annabelle S.A. in Paris. After passing the Second State Examination in law (Zweites Staatsexamen) in Munich in 1992, Dr Steck was admitted to the bar.

From 1992 to 1993, Dr Steck was employed as a Rechtsanwalt (solicitor) with the Munich-based law firm TAYLOR WESSING.

He then joined a well-known exchange-listed public limited company in Germany as its Group General Counsel, assisting in and advising on legal matters on both a national and international level for over a decade. In addition, Dr Steck was entrusted with comprehensive executive tasks at group level, including the role of a managing director.

In 1995, Dr Steck completed the Business Executive Program (PMD) at the Harvard Business School in Boston, USA.

In early 2006, Dr Steck joined the MARIACHER Rechtsanwälte law firm where he specialises in commercial real estate transactions and general corporate, commercial and mercantile law. Dr Steck also possesses comprehensive experience in the areas of distribution, franchising, commercial agency and licensing, with a focus on trade-marked and consumer goods.

Further focus areas are the law of companies limited by shares, including exchange-listed companies and the associated restructuring measures, corporate actions and M&A transactions, as well as employment and service contract law (particularly in its application to managing directors and members of executive boards).

Katja MariacherKatja Mariacher has been admitted to practice as a Rechtsanwältin in Germany since 1998, after having completed her law studies in Passau and Munich and spending six months practicing at the German embassy in South Africa.
Following a stint in South Africa, Katja Mariacher initially worked at a Munich law office with a focus on corporate law.
In 2000, she switched to Sannwald & Jaenecke, an M&A consulting firm headquartered in Munich and considered a pioneer in the field of highly professional merger and acquisition consulting for SMEs since 1991. At Sannwald & Jaenecke, she worked in corporate finance and on specialised M&A project transactions. In 2006, Katja Mariacher founded Jaenecke & Cie. together with one of the founding partners of Sannwald & Jaenecke and an additional partner.  Since then she has worked as a consultant for Jaenecke & Cie., who specialises in the transfer of small and medium-sized enterprises.
Between 2000 and 2008, Katja Mariacher additionally worked for the law firm of Heisse Kursawe Eversheds in Munich as a practicing solicitor. In mid 2008, she moved to MARIACHER Rechtsanwälte, where she has since been focusing on advising companies and business owners in disputes involving shareholders or partners as well as due diligence processes and the purchase and sale of companies.

Michael BiernatRechtsanwalt Michael Biernat studied law at the University of Passau. After his first state exams he practiced at the Economic Department of the Polish Embassy in Berlin. His practical legal training included work for a law firm specialised in labour law, corporate law and law of succession, as well as the legal department of an international company in Dublin. As a law student and during his practical legal training he advised Polish and German transportation and logistic companies in the establishment and development of cooperation and joint venture companies. After completing his practical legal training and his second state exams in 2009, he also completed theoretical courses as a specialised solicitor in tax law, corporate law and labour law at the Academy of Tax and Economics in Munich. Since 2010 he has been admitted to the legal profession by the Higher Regional Court in Munich and has been working for Mariacher law firm.

Christina RuthenbergChristina Ruthenberg studied law at the Ludwig-Maximilians-University in Munich. She graduated with a law degree in 2001. During her time as an articled clerk she worked at the legal offices Heiermann, Franke, Knipp in Munich, focusing on private construction law. In 2003 she finished her articles with the 2nd state exam in Munich.
Since 2003 she is admitted to the Bar of the District Courts, and since 2008 also has permission to represent clients at the Higher Regional Court (Oberlandesgericht).
First, she worked for the firm Asmus and colleagues in Rosenheim, since 2004 she is working as an independent established lawyer. With her work, she covers all areas of general civil law, with an emphasis of her activities on tenancy law. She joined MARIACHER law firm in February 2010.
